1. Payment Terms
Payment shall be made as per the agreed commercial terms mentioned in the Purchase Order, Sales Order, or Contract. Delayed payments may attract interest at 18% per annum or as mutually agreed.
2. Taxes
GST and other applicable taxes have been charged as per prevailing statutory regulations. Any change in tax laws after invoice issuance shall be to the customer’s account.
3. Inspection & Acceptance
Goods supplied shall be deemed accepted unless any discrepancy in quantity, damage, or specification is reported in writing within 7 days of receipt.
4. Warranty
Unless otherwise specified, products manufactured by CS Aerotherm Pvt. Ltd. are warranted against defects in material and workmanship for a period specified in the applicable purchase order, quotation, or contract.
5. Limitation of Liability
CS Aerotherm’s liability shall be limited to the value of the goods supplied under the invoice. Consequential, indirect, or special damages shall not be recoverable.
6. Delivery & Risk
Risk and responsibility for the goods shall pass to the customer upon delivery, dispatch, or handover to the transporter, as per the agreed delivery terms.
7. Force Majeure
Neither party shall be liable for failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, governmental actions, strikes, war, or transportation disruptions.
8. Returns
No material shall be returned without prior written authorization from CS Aerotherm Pvt. Ltd. Approved returns shall be subject to inspection and applicable return conditions.
9. Ownership of Goods
Title to the goods shall remain with CS Aerotherm Pvt. Ltd. until full payment of the invoice value has been received.
10. Compliance
The customer shall comply with all applicable laws, regulations, and statutory requirements relating to the use and installation of the supplied goods.
11. Confidentiality
Technical drawings, specifications, documents, and commercial information provided by CS Aerotherm Pvt. Ltd. shall remain confidential and shall not be disclosed to third parties without prior written consent.
12. Dispute Resolution & Jurisdiction
Any dispute arising out of this transaction shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
13. Invoice Discrepancies
Any discrepancy relating to the invoice shall be notified in writing within 7 days from the invoice date. Thereafter, the invoice shall be deemed accepted.
14. E-Invoice Compliance
This invoice is generated in compliance with applicable GST regulations and, where applicable, contains a valid IRN and QR code generated through the Government of India GST portal.
